- ITEM NO SUPPLIES/SERVICES QUANTITY UNIT UNIT PRICE AMOUNT 0001 12 Each Maintenance Of Digital DictationFFPRTAS Annual maintenance Agreement, See section C.PURCHASE REQUEST NUMBER: N0018304RQMD002 NET AMT FOB: Destination Section C - Descriptions and Specifications CLAUSES INCORPORATED BY FULL TEXT STATEMENT OF WORK 1. Contractor will provide 24-hour telephone consultation via 1-800 telephone number 24 hours a day for the term of contract. 2. Contractor will deliver, at no additional cost to the Government, hardware and software Field Engineering Change Orders on equipment. Government personnel may assist contractor service technicians in the installation of any such hardware or software. 3. Replacement parts will be furnished at no additional cost to the Government in exchange for any replaced parts. Component parts, assemblies or subassemblies will be replaced with new items and may be installed by Government personnel. 4. Contractor will ship all parts via 24-hour express service to arrive the morning following notification (Monday thru Friday). Next morning delivery is contingent on notice being provided prior to 4:00 p.m. EST Saturday delivery will be available if name and telephone number of person accepting shipment is provided. When notification occurs after 4:00 p.m., the parts will be shipped no later than the next morning (Monday thru Friday). If part is critical for RTAS to be operational, contractor will ship via same day airline service for pickup by Government representative. In the case of weekend emergency, notification prior to 2:00 p.m. Saturday will allow for Monday a.m. delivery. Notification after 2:00 p.m. may result in Tuesday a.m. delivery. 5. Contractor will assure RTAS system availability at 90% - 100%. In order to do so, contractor technical service personnel may request to monitor machine functions via Remote Diagnostic Facility (RDF). This will only be done with the prior knowledge, approval, and cooperation of the Government. At such time contractor may make changes to the resident software, but not in a manner that would knowingly disrupt normal operations, violate security, or disturb Government records. Contractor may recommend and initiate replacement of suspect component parts at no expense to the Government, but with planned cooperation regarding handling and actual replacement work. This will be done with every intention of minimizing disruption. Contractor recommended site visits by Factory Server Technician would be with the full knowledge and cooperation of the Government. Any and all expenses related to contractor recommended site visit will be borne by the contractor. Exception: If the Government requests a site visit, or requests service call be performed during the evening or weekend hours, or if it is determined that the problem developed from a part damaged by causes other than normal wear and tear. The Government will maintain environmental conditions specified in the Site Preparation Guide at the RTAS site. These conditions will be within the common environmental range of all system components. 6. Title to all documentation and software relating to the maintenance of RTAS shall remain with the contractor. The Government, as licensee, acknowledges that all such documentation and software are proprietary and confidential and will hold in confidence all such information, as well as information concerning maintenance and diagnostics. Contractor will retain full title to the software. The Government will have the right to use such software as long as it owns the product and agrees to hold in confidence all technical and trade secret information. Proprietary information includes content of all information relating to software, source code, object code, software updates supplies by contractor, all subsequent modifications of code pursuant to maintenance and/or diagnostic evaluation, and all documentation relating to any of the foregoing. The Government will ensure that access to such information will be limited to employees who must have access in order to use RTAS effectively. The contractor may remove maintenance materials or diagnostic software at any time, either temporarily or permanently. The diagnostic software provided to facilitate RTAS service is not necessary for the operation of the basic software system. Contractor service does not include: a. Electrical work external to the equipment; b. Maintenance of accessories, attachments, machines, or other devices not furnished by contractor; c. Repair of damages resulting from accident, neglect or misuse, fluctuations of temperature or humidity, failure of electrical power, or causes other than ordinary use, or resulting from maintenance or repair of equipment by other than contractor personnel; d. Furnishing photographic material, magnetic or paper tapes, chart paper, headsets, barcode labels, printer paper, flash cards and other consumable items; e. Painting or refinishing, making specific changes or performing services connected with relocation of equipment; f. Adding or removing accessories, attachments, or other devices; g. Services rendered impractical due to alterations to the equipment, or because of electrical or mechanical connection to equipment not supplied by contractor.
