- STATEMENT OF WORK 1. SUMMARY The Contractor shall provide a report to the U.S. Trade and Development Agency which will: assess whether or not USTDA should provide funding for feasibility studies of (or technical assistance for) any potential projects; assess any alternative activities which Contractor sees as viable options for USTDA consideration; and provide recommendations on the above information in a final report that analyzes all relevant issues as called for in the Definitional Mission (DM) Report Outline (Attachment 4). Contractor?s recommendations should be based on the following considerations: Projects that qualify for USTDA funding must: (1) be national development priorities for the host country; (2) have significant U.S. export potential; (3) be likely to be financed; and (4) have some foreign competitive element that is addressed by USTDA funding of the study; and The project sponsor must be willing to allow U.S. companies to compete for contracts during project implementation unless the project is brought to USTDA on a sole-source basis. 2. TERMS OF REFERENCE The Contractor shall perform the following tasks: 1. Upon award, meet with USTDA?s Contracting Officer?s Technical Representative (COTR) (see G.2. below) to discuss details of the contract assignment. The COTR will provide the Contractor with names and addresses of the project sponsors and other pertinent entities to contact in the United States and overseas. Unless otherwise advised, this meeting will be held at USTDA?s office in Arlington, Virginia. 2. Conduct discussions with relevant financial institutions and U.S. firms with experience in the pertinent sectors. 3. At least five (5) business days prior to departure for Ghana and Cameroon provide COTR for approval a pre-visit written report of 2-4 pages containing preliminary findings on project viability, financing options, U.S. company interest in the projects, a list of contacts to be made during the visit and a pre-visit checklist of issues, information and questions to be utilized during the visit. This will include preliminary findings on funding technical assistance for this project. The Contractor shall also provide a statement that he/she has obtained or will obtain before departure, the required Defense Base Act and Medevac insurance. 4. Travel to Ghana and Cameroon to meet with relevant project officials. USTDA will advise the appropriate Embassies of the Contractor?s proposed travel itinerary prior to departure. The Contractor should contact the Commercial Section at the appropriate U.S. Embassies upon arrival and prior to departure to brief and debrief them on the visit. USTDA will request that the Commercial Section provide the Contractor with names and addresses of appropriate host country officials with whom to meet. While the Embassies may be able to assist the Contractor in arranging these meetings, the Contractor is ultimately responsible for arranging the meetings. Logistics for handling the visit, including hotel accommodations, transportation and translation services are also the responsibility of the Contractor. 5. Assess whether the proposed projects are economically, financially, and technically viable. This analysis should include: an assessment of each project?s risks, and consequently its financial viability; the priority of the project and the political/social support it has; the likelihood and potential sources of financing; and capability and experience of the project sponsor. 6. Provide expert analysis on the potential procurement of U.S. goods and services for project implementation by categories and dollar values. 7. Assist USTDA in planning a strategy aimed at achieving the maximum possible success for project implementation and enhancing the likelihood of U.S. export sales to the project. The Contractor should use a project life-cycle approach in formulating recommendations for USTDA. This means that the Contractor?s recommendations will take into consideration the entire range of USTDA program capabilities. Possible funding activities include feasibility studies, alternative technical assistance, and Orientation Visits. 8. Develop a sound budget and Terms of Reference (TOR) for the technical assistance and feasibility study (ies), if recommended, or for any other recommended USTDA-funded activity. The budget shall be developed according to the U.S. Trade and Development Agency Budget Preparation Guidelines for Submission of Definitional Mission/Desk Study Reports (Attachment 5). 9. Prepare a report to USTDA that addresses all the issues in the Definitional Mission Report Outline (Attachment 4). Since this report will be available for public distribution, any sensitive or proprietary information should be included in a separate confidential attachment to the report. The Contractor shall provide the report in draft form to USTDA within ten (10) working days after completion of the overseas visit. The report should be clearly marked ?Draft? on the cover. Except in the case where C.2.10 (below) applies, within five (5) working days after receiving USTDA?s final comments on the draft report, including all comments from C.2.10 (below), the Contractor shall provide twenty (20) copies of the final version of the report, which incorporates the required changes/revisions, and an unbound original to USTDA. It is the responsibility of the Contractor to verify with the COTR that the report is considered acceptable and ready for the production of the appropriate number of copies. All reports must be paginated. All reports must be submitted on a 3.5-inch disk in Microsoft Word. 10. a. For any projects that include a full proposal submitted by a U.S. company on a sole-source basis, the Contractor will additionally prepare and provide to the COTR a first draft of that section of the Definitional Mission Report (fax is acceptable) based on the proposal and any additional information or clarifications provided by the U.S. Company, within ten (10) working days after the completion of the overseas visit. The draft section must be clearly marked ?First Draft? on the cover. USTDA will review the first draft report and provide comments. b. The Contractor will then provide to USTDA and to the U.S. Company for its review and comment a second draft of this project?s section that incorporates USTDA?s comments on the first draft of the section (again, fax is acceptable) within one week of receipt of USTDA?s comments. This draft report must be clearly marked ?Second Draft? on the cover. The U.S. Company will provide its comments on the second draft report to the Contractor. c. The Contractor shall discuss the comments from the U.S. Company with the COTR, and based on that discussion, prepare and provide to USTDA within five (5) working days the final version of this section in the Definitional Mission Final Report. 3. DELIVERABLES The Contractor shall provide: ? Verbal updates to the COTR, as required; ? A pre-visit written report of 2-4 pages, at least five (5) business days before travel, providing preliminary findings on project viability, potential financing, U.S. market interest, a list of contacts to be made during the visit and a check-list of issues, information and questions to be utilized during the visit; ? A draft report within ten (10) working days after completion of the overseas visit in accordance with the Definitional Mission Report Outline (Attachment 4). The draft report shall be clearly marked ?Draft? on the cover and shall include a recommended feasibility study budget, prepared according to the U.S. Trade and Development Agency Budget Preparation Guidelines for Submission of Definitional Mission/Desk Study Reports (Attachment 5); Should the Definitional Mission examine a project for which a U.S. Company has submitted a full proposal, the Contractor shall provide a draft report for USTDA approval within ten (10) working days after the completion of the overseas visit. After USTDA provides comments on the draft, The Contractor will then provide to USTDA and to the U.S. Company for its review and comment a second draft of this project?s section that incorporates USTDA?s comments on the first draft of the section. The U.S. Company will provide its comments on the second draft report to the Contractor. The Contractor shall discuss the comments from the U.S. Company with the COTR, and based on that discussion, prepare the final report for USTDA. ? A final report within five (5) days after receiving USTDA?s comments on the draft report(s). The final report should incorporate all mutually agreed upon material and revisions. The report should include any supporting documentation. It shall be grammatically and factually correct in all respects, it shall be internally consistent, and a competent reader shall clear and easily understand all statements and tables. It shall be free of typographical errors. 4. PERFORMANCE STANDARD The performance standard required is to meet the objectives of the DM and provide a timely report that is grammatically and factually correct in all respects.
