MARKLEY Real Estate Contracting Officer Request For Interest (RFI) Naval Facilities Engineering Command Washington 1314 Harwood Street, SE, Building 212, Washington Navy Yard, DC 20374 Attn: Code RES This Request for Interest (RFI) is issued for the purpose of exchanging information to improve the understanding of Government requirements and assess market capabilities and interest. Before committing to award a lease, the Government wants to obtain information from potentially interested parties concerning rental consideration, other market information, and to identify potential re-use opportunities for Government-owned property that is not excess to the needs of the Department of Defense (DoD), but is not fully utilized. Responses to this RFI are not offers and cannot be accepted by the Government to form a binding contract, but will be used by the Government in making decisions about subsequent issuance of a Request For Proposals (RFP) that would solicit such offers. The Department of the Navy has the authority to outlease approximately 857 acres of government-owned land along with improvements and personal property thereon, using competitive procedures. The property is located approximately 15 miles northwest of the United States Naval Academy in Anne Arundel County, Gambrills, Maryland. It is locally known and hereinafter referred to as the ?Dairy Farm?. A site map is attached as Exhibit A. The proposed outlease of the property would not include any livestock or any agricultural equipment such as tractors, trucks, combines, wagons, etc. A building/facility inventory would be included in the RFP. Currently, there are approximately 165 acres available for pasturing and 520 acres available for crop production. There are approximately 26 acres of improvements, and approximately 146 acres are woodlands, riparian buffers, archeological sites, which cannot be disturbed, and set-asides for wildlife, which must be maintained in grass cover. Information and/or documents pertaining to this property and provided to interested parties is believed to be correct; however, the Government does not warrant this information. The property would be offered for lease on an ?as-is-where-is? basis, without warranty. The Lease requirements will include the following: (a) The Government shall have the right to terminate the lease in whole or part, at any time, without prior notice and without liability regardless of any lack of breach by Lessee of any of the terms and conditions of the Lease. In the event of a national emergency declared by the President or Congress, the Government may terminate the Lease immediately, without notice to Lessee. The Lessee shall have the right to terminate the Lease upon 180 days written notice at any time. Upon termination or expiration of the Lease, it will be the Government?s option to cause title to all improvements to be vested in the United States of America at no cost to the Government, or to require the Lessee to remove the improvements and restore the premises to its original condition at no cost to the Government. (b) Use of the Leased Premises. Rural/Agricultural, as required by 10 USC ? 6976. Current County zoning of the property is also rural/agricultural. (c) Rent. Navy will seek not less than fair market rent as determined by an appraisal. Rent consideration shall be in the form of cash to be remitted monthly/quarterly/semi-annually/annually, in advance, over the term of the Lease. Amount of rent consideration for the first five (5) years of the Lease will be based on the offered/negotiated rental as a result of the RFP. Rent consideration for each succeeding five (5) year period shall be adjusted based upon the Government?s fair market rental value appraisal, or any revisions thereto as required, for the leased premises. (d) Assignment or Subletting: Lessee may not transfer or assign the lease or any interest therein nor sublet or otherwise make available to any third party or parties any portion of the premises or rights therein without the prior written consent of the Government. (e) Hazardous Materials: Lessee shall comply with all applicable State, Federal and Local regulations concerning the storing, use, and disposal of hazardous materials. (f) Restrictions/Environmental Condition: Land-use restrictions are required to be put into place to limit access to two areas along the western boundary of the farm, as generally depicted on Exhibit A. These two areas were historically used to dispose of farm waste. If the property is outleased, the Navy will include land-use restrictions in the lease to limit access to the two areas. The restrictions will state that grazing in the two areas would not be permitted, and that no further dumping of material in the two areas is authorized. The land is believed to be free of contamination by toxic or hazardous substances, contains no wetlands, and is otherwise suitable for farming. The Government will provide information about environmental conditions as part of any leasing RFP. (g) Possessory Interest Tax: The leasehold interest in Government-owned land may be subject to state and local taxation as a possessory interest in tax exempt real property. The amount of assessment charged the Lessee is determined by the County Assessor. Such taxes are the sole responsibility and liability of the Lessee. (h) Insurance Requirements: The Lessee will be required to carry general liability insurance and Fire and Extended Coverage on the leased premises in the amount and type specified by the Government for the term of the lease. Each policy of insurance shall name both Lessee and the United States of America (Department of the Navy) as the insured. (i) General Maintenance: The Lessee, at its own expense, shall be responsible for the day-to-day protection, preservation, and general maintenance of the leased premises (including vacant and/or unutilized facilities). The Lessee will at all times keep the leased premises in at least as good condition as when received whether Lessee utilizes the entire leased premises or not. (j) Soil and Water Conservation Plan: A Soil and Water Conservation Plan (SWCP) will be prepared and included in the RFP, which will subsequently become a part of the lease agreement. A SWCP specifies the best use for each area based on soil type and topography. A SWCP lists acceptable crop rotations, erosion prevention methods, pest management methods, grazing capacity, and other items necessary to ensure long-term sustainability of the Dairy Farm. (k) Natural Resources Management Plan: A Natural Resources Management Plan (NRMP) is a long-term planning document to guide the management of natural resources. The primary purpose of the NRMP is to ensure that natural resources conservation measures undertaken on the Farm are consistent with stewardship obligations and legal requirements. A NRMP for the Dairy Farm is under development. Lessee would be required to follow the plan. Projects outlined in the plan will be implemented by the Navy?s Natural Resources Program. (l) Permits: Lessee will be responsible for obtaining any and all local, county, state, or federal permits that may be required by law in connection with the use of the leased premises. (m) Historic Preservation: The Dairy Farm has been determined to be a historic district eligible for the National Register of Historic Places (NRHP). Its contributing architectural resources include 30 buildings (out of 70) as well as the cemetery of the Hammond Manor House, which was destroyed by fire in the 1970?s. A listing of these resources will be provided as an attachment to the RFP. Any Lessee of the property would have to receive approval from the Navy before undertaking any repair, demolition, maintenance or modifications to historic buildings. (n) Legislative Jurisdiction: The Federal Government exercises ?exclusive? legislative jurisdiction over the lands of the Dairy Farm, which means that any criminal activity occurring at the Farm would have to be handled by the Federal Government. The State (or local police) would not have any authority to arrest, prosecute, etc. any criminal activity occurring at the Farm. The Government intends to request a retrocession of legislative jurisdiction to ?concurrent?, which means either the Federal or State may take action involving criminal activity. (o) Utilities: Water: The Dairy Farm has its own wells and potable water treatment and distribution system. The Maryland Department of the Environment (MDE) classified this system as a ?community water system?. As a community water system, regular testing and reporting is required. Lessee shall be responsible for coordinating and obtaining all permits, reports, and testing associated with this system, and paying all required fees. Sanitary Sewer System: A sanitary sewer system services the property. The sanitary sewer system collects waste at a pumping station where it is pumped to a county system. Anne Arundel County bills quarterly for this service and also charges an annual ?front footage? assessment. Additionally, the system is operated under a Wastewater Discharge Permit issued by Anne Arundel County. There is an annual administrative fee for this permit. Lessee shall be responsible for these charges. Electricity: Electricity for the Dairy Farm is provided by Baltimore Gas and Electric (BG&E) under 13 separate accounts. One bill is for the operational side of the farm and the remaining 12 are for individual houses and mobile homes. Lessee shall be responsible for transferring these accounts into its name. Lessee shall be responsible for these charges. (p) Other: Boilers: There are two (2) 55 horsepower, oil-fired, steam boilers. The boilers are registered with the State of Maryland and Anne Arundel County. The boilers require inspection annually by a certified boiler inspector. Annual inspections and the fee(s) will be the responsibility of the Lessee. Refuse and Trash Removal: The Lessee shall be responsible for all trash and refuse removal. (q) Goats: Lessee will be required to provide, at no cost to the Government, for the boarding and feeding of the Navy Goats, the Official Mascots of the United States Naval Academy. The number of goats may vary between one and three. In accordance with Title 10 of the United States Code, Section 2695, the Government requires compensation for the administrative costs associated with the preparation and execution of this type of real estate contract. Should the Government decide to proceed with the issuance of an RFP followed by an award of a lease, the successful Offeror/Lessee that is chosen would be responsible to reimburse the Government for the administrative costs at the time of award and prior to execution of a lease. The Government?s cost estimate for administrative expenses associated with this action is $89,200. This estimate covers expenses related to in-house and contractor labor, preparation of legal documents, an appraisal to determine the fair market rental value, environmental studies, technical plans, etc. The administrative costs were estimated to sufficiently cover the costs of the RFI, RFP, and pre-and post award requirements. However, for any reason should the actual costs expended be more than amount estimated, the Navy reserves the right to require additional funds before a Lease can be executed. Additionally, the Government reserves the right, unilaterally, to not issue an RFP or make an award, and cancel this RFI if it deems appropriate, at no cost to the Government. On a separate page, please provide a brief description of your organization, operation controls, key personnel, and experience with rural/agricultural operations of the nature you would conduct at the Dairy Farm. 3. If any of the information provided as a result of this RFI is to be protected from public disclosure, please clearly mark each page of your submission as ?PROPRIETARY? and provide a justification for such treatment.
