Description
Synopsis of Proposed Contract Action number W911SR-11-S-0001 Subject: VRP Intellectual Property License The U.S. Army Research Development, and Engineering Command on behalf of the Chemical Biological Medical Systems Joint Vaccine Acquisition Program (CBMS-JVAP) intends to procure on a sole source basis an exclusive, perpetual license to the Intellectual Property to Alphavaxs proprietary Venezuelan Equine Encephalitis (VEE)- based RNA replicon/helper particle system for the field of filovirus vaccines. The intended contractor is AlphaVax, Inc., Research Triangle Park, North Carolina, 27709. It is anticipated that a Firm Fixed Price type contract will be issued for the purchase of an exclusive license to the intellectual property that has improved the existing U.S. Government owned VEE-replicon particle technology (GVRP Technology). AlphaVax, Inc. is the only known source that has built upon the existing GVRP Technology. The contract will include (i) one base CLIN for the AlphaVax patents owned or to which AlphaVax has an exclusive license needed to develop and produce a filovirus vaccine and (ii) an option CLIN for specific AlphaVax Know-How. The NAICS Code associated with the planned procurement is 541711. The proposed solicitation number is W911SR-11-R-0003. The statutory authority permitting acquisition of this requirement by other than full and open competition is 10 U.S.C. 2304(c)(1), as implemented by FAR 6.302- 1(a)(2)(iii) Only One Responsible Source and No Other Supplies or Services will Satisfy Agency Requirements. While this notice is not a request for competitive proposals, responsible parties purporting to have the requisite intellectual property to this technology who can provide the patents without unacceptable delays or expense in fulfilling the agencys requirements must furnish, in writing within 15 days of this notice, factual information which clearly supports and demonstrates that their company is sufficiently able to provide an exclusive license to the modified VEE-replicon particle technology developed by the U.S. Government as described in patent 5,792,462. The Contracting Officer responsible for this action is Mr. Lawrence Mize. A determination not to compete this proposed action based on any responses to this notice is solely within the discretion of the Contracting Officer.
