DESCRIPTION OF SERVICES/STATEMENT OF WORK Assertive Courier Services GENERAL: Assertive Courier Services is provided courier service between the Pharmacy at Bay Pines VA Healthcare System (VAHCS) to include the following CBOCs, State Nursing Homes and various local facilities. Assertive Courier Services will provide pick-up and delivery of packages containing medication and/or medical supplies. McKesson, 1515 Kendrick Lane, Lakeland, FL 33805 (813) 784-3064. Approx delivery: 4 per year. Various local hospitals and patient residencies - Approx delivery: 31 per year. PRICING: One price across the board $0.90 per one way mile from Origin to Destination. Assertive Courier Services reserve the right to revisit these prices when and if fuel hits $3.90 per gallon. CONTRACTOR RESPONSIBILITIES: The Contractor will obtain all necessary licenses and/or permits required to perform this work. He/she will take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract. He/she will be responsible for any injury to himself/herself, his/her employees, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by his/her employees fault or negligence, and will maintain personal liability and property damage insurance having coverage for a limit as required by the laws of the State of Florida. Further, it is agreed that any negligence of the Government, its officers, agents, servants and employees, shall not be the responsibility of the Contractor hereunder with the regard to any claims, loss, damage, injury and liability resulting there from. TERMS OF CONTRACT: This contract is effective from October 1, 2011 through September 30, 2012. The contract is subject to the availability of VA funds. WORK HOURS: A. The services covered by this contract shall be furnished by the Contractor as described herein. The Contractor shall not be required, except in case of emergency, to furnish services on a National holiday or during off-duty hours as described below: B. The following terms have the following meanings: 1.Normal Work Hours - Monday through Friday 6:30 a.m. to 7:00 p.m. 2.Off-Duty Hours - Monday through Friday 7:00 p.m. to 6:30 a.m., and 7:00 pm Friday to 6:30 a.m. Monday. 3.National Holidays - New Year's Day, Washington's Birthday, Martin Luther King's Birthday, Memorial Day, Independence Day, Labor Day, Columbus Day, Veteran's Day, Thanksgiving Day and Christmas Day. CONTRACT ADMINISTRATION DATA: The Contracting Officer is the only person authorized to approve changes or modify any of the requirements under this contract. The Contractor shall communicate with the Contracting Officer on all matters pertaining to contract administration. Only the Contracting Officer is authorized to make commitments or issue changes, which will affect price, quantity or quality of performance of this contract. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change shall be considered to have been made without authority and no adjustment will be made in contract price to cover any increase in costs incurred as a result thereof. IDENTIFICATION, PARKING, SMOKING AND VA REGULATIONS: The Contractor's personnel shall wear visible identification at all times while on the premises of the VAHCS. It is the responsibility of the Contractor to park in the appropriate designated parking areas. Information on parking is available from the VA Police Service. The VA will not invalidate or make reimbursement for parking violations of the Contractor under any conditions. Smoking is prohibited inside any buildings of the VAHCS. Possession of weapons is prohibited. Enclosed containers, including took kits, shall be subject to search. Violation of VA regulations may result in citation answerable in the United States (Federal) District Court, not a local district, State or Municipal court. PAYMENT: The Contractor will be paid each month in arrears upon receipt of a proper invoice. Inclusion on Contractor's invoice should be your Company's name, Tax ID number, VA purchase order number, description of services, period of services billed for, itemized amounts and remit to address. Invoices shall be submitted to Department of Veterans Affairs, FMS-VA-2 (101), Financial Services Center, and P.O. Box 149971, Austin, TX 78714-8971, as directed in the individual delivery orders. Payment will be made upon written certification from the COTR that the services have been performed. TECHNICAL INDUSTRY STANDARDS: The Contractor certifies that all applicable services offered under this contract shall conform to all common industry standards. The Contractor for these services will meet any regulatory requirements. REFERENCES: 52.232-18 AVAILABILITY OF FUNDS (APR 1984) Funds are not presently available for this contract. The Government's obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer. (END OF CLAUSE) STATE OF FLORIDA TAX EXEMPTION NUMBER 85-8013956560C-8, EXPIRATION DATE 01/31/13, APPLIES TO THIS ORDER. (End of clause) FAR 52.237-2 PROTECTION OF GOVERNMENT BUILDINGS, EQUIPMENT AND VEGETATION (APR 1984) The Contractor shall use reasonable care to avoid damaging existing buildings, equipment, and vegetation on the Government installation. If the Contractor's failure to use reasonable care causes damage to any of this property, the Contractor shall replace or repair the damage at no expense to the Government as the Contracting Officer directs. If the Contractor fails or refuses to make such repair or replacement, the Contractor shall be liable for the cost, which may be deducted from the contract price. FAR 52.246-20 WARRANTY OF SERVICES (MAY 2001) (a) Definition. "Acceptance", as used in this clause, means the act of an authorized representative from the Government by which the Government assumes for itself, or as an agent of another, ownership of existing and identified supplies, or approves specific services, a partial or complete performance of the contract. (b) Notwithstanding inspection and acceptance by the Government or any provision concerning the conclusiveness thereof, the Contractor warrants that all services performed under this contract will, at the time of acceptance, be free from defects in workmanship and conform to the requirements of this contract. The Contracting Officer shall give written notice of any defect or nonconformance to the Contractor within 30 days of acceptance by the Government. This notice shall state either (1) That the Contractor shall correct or re-perform any defective or nonconforming service; or (2) That the Government does not require correction or re-performance. (c) If the Contractor is required to correct or re-perform, it shall be at no cost to the Government, and any services corrected or re-performed by the Contractor shall be subject to this clause to the same extend as work initially performed. If the Contractor fails or refuses to correct or re-perform, the Contracting Officer may, by contract or otherwise, correct or replace with similar services and charge to the Contractor the cost occasioned to the Government thereby, or makes an equitable adjustment in the contract price. (d) If the Government does not require correction or re-performance, the Contractor shall make an equitable adjustment in the contract price. (End of clause) VAAR 852.211-76 NONCOMPLIANCE WITH PACKAGING, PACKING AND/OR MARKING REQUIRMENTS (JUL 1989) Failure to comply with the packaging and/or marking requirements indicated herein, or incorporated herein by reference, may result in rejection of the merchandise and request for replacement or repackaging, repacking, and/or marking. The Government reserves the right, without obtaining authority from the Contractor, to perform the required repackaging, repacking, and/or marking services and charge the contractor at the actual cost to the Government for the same or have the required repackaging, repacking, and/or marking services performed commercially under Government order and charge the Contractor at the invoice rate. In connection with any discount offered, time will be computed from the date of completion of such repackaging, repacking and/or marking service.
