Description
This is a noncompetitive combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. The Solicitation Number for this Acquisition is VA244-12-Q-1183 and is being issued as a Request for Quote (RFQ). Agency Point of Contact is the Contracting Officer Ronald Mazzei, who can be reached at 412-822-3770. The Solicitation is being conducted under FAR Part 13 and FAR Part 12. The Solicitation Document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-58, effective May 18, 2012. The NAICS Code for this Acquisition is 334516. The Small Business Size Standard is 500 Employees. The Government intends to award a Firm Fixed-Price Purchase Order/Contract in the amount of $347,450, for the Brand Name Items described below on or about July 19, 2012, on a noncompetitive basis to Sequenom, 3595 John Hopkins Court, San Diego, CA 92121. The justification reason for the lack of competition, is due to the fact that the VA Pittsbrugh Healthcare System must purchase the Sequenom System described below, since it contains certain salient features that are essential to the Government, that no other company makes in a similar product, and since Sequenom is the sole exclusive seller of this medical equipment, and sole provider for the installation and training services needed. (See attached Other Than Full and Open Competition Justification Memorandum) All responsible sources may submit a capability statement, written proposal, or quotation which shall be considered by the Agency. This application supports accurate high-throughput identification and typing of microbes, viruses and other haploid organisms as well as single nucleotide polymorphism discovery in heterozygous organisms -MassARRAY iSEQTM Soft ware 1.v* -Methods of Macros for MassCLEAVETM Applications -Installation & Training *Most current version available will be provided at the time of purchase Line Item 5: Quantity: 1 Unit of Measure: Each Description: Shipping of all items listed in Line Items 1-4 to VA Pittsburgh Healthcare System, University Drive C, Pittsburgh, PA 15240. Delivery Schedule and Period of Performance: Delivery of all items, as well as, Installation of all items and completion of required Training, is to occur by 9/30/2012, at the VA Pittsburgh Healthcare System, University Drive Facility, Pittsburgh, PA 15240. Installation includes, uncrating equipment, setting it up, making electrical connections, and making sure the instrument is operating properly, which includes assuring the vacuum is running properly. Training involves both classroom activity and actual laboratory activity. Training includes On-Site Training by a Sequenom Engineer to teach the users to utilize the instruments, and a 2-3 Day On Site Training by Sequenom Application Scientists to perform the applications, which includes running a Wet Lab and preparing the chemistries to run on the SpectroChip to run on the MassArray, and teaching them how to interpret the clinical results from each application. The Provision at FAR 52.212-1, Instructions to Offerors - Commercial, applies to this acquisition. FAR 52.212-2 will not apply being the Government is intending on awarding a Contract to Sequenom on a Sole Source basis, however in the event there is more than one source for the above Sequenom items, the Government will award to the technically and financially responsible vendor who has the lowest price that is considered fair and reasonable to the Government, and who's proposal can meet the governments delivery schedule for all items to be delivered and installed by 9/30/2012, and that can provide the Sequenom Warranty. Contractor is expected to be considered technically qualified through verification of past performance from references who they sold Sequenom Systems to, and must be deemed financially responsible by having acceptable past performance feedback and having a Dunn & Bradstreet Supplier Risk Rating of less than 7. Offerors shall include a completed copy of the provision at FAR 52.212-3, Offeror Representation and Certifications - Commercial Items, with its offer. FAR Clause 52.212-4, Contract Terms and Conditions - Commercial Items, applies to this acquisition. Any Contractor Terms and Conditions shall be made part of the Contract, but will only apply to the extent they do not conflict with the Terms and Conditions of the Order, or any Federal Laws, Rules, and Regulations. If Contractor's Terms and Conditions regarding Computer Software Right are incorporated into the Contract, FAR Clause 52.227-19, Commercial Computer Software License, will be added to the Contract, as well as, the following Governing Law. Governing Law. Federal law and regulations, including the Federal Acquisition Regulations ("FAR"), shall govern this Contract or Order (Contract/Order). Commercial license agreements may be made a part of this Contract/Order but only if both parties expressly make them an addendum. If the commercial license agreement is not made an addendum, it shall not apply, govern, be a part of or have any effect whatsoever on this Contract/Order; this includes, but is not limited to, any agreement embedded in the computer software (clickwrap) or any agreement that is otherwise delivered with or provided to the Government with the commercial computer software or documentation (shrinkwrap), or any other license agreement otherwise referred to in any document. If a commercial license agreement is made an addendum, only those provisions addressing data rights regarding the Government's use, duplication and disclosure of data (e.g., restricted computer software) are included and made a part of this Contract/Order, and only to the extent that those provisions are not duplicative or inconsistent with Federal law, Federal regulation or the incorporated FAR clauses; those provisions in the commercial license agreement that do not address data rights regarding the Government's use, duplication and disclosure of data shall not be included or made a part of the Contract/Order. Federal law and regulation, including without limitation, the Contract Disputes Act (41 U.S.C. §601-613), the Anti-Deficiency Act (31 U.S.C. §1341 et seq.), the Competition in Contracting Act (41 U.S.C. §251, et seq), the Prompt Payment Act (31 U.S.C. §3901, et seq.) and FAR clauses 52.212-4, 52.227-14, 52.227-19 shall supersede, control and render ineffective any inconsistent, conflicting or duplicative provision in any commercial license agreement. In the event of conflict between this clause and any provision in the Contract/Order or the commercial license agreement or elsewhere, the terms of this clause shall prevail. Claims of patent or copyright infringement brought against the Government as a party shall be defended by the U.S. Department of Justice (DOJ). 28 U.S.C. § 516. At the discretion of DOJ, the Contractor may be allowed reasonable participation in the defense of the litigation. Any additional changes to the Contract/Order must be made by contract modification (Standard Form 30). Nothing in this Contract/Order or any commercial license agreement shall be construed as a waiver of sovereign immunity. FAR Clause 52.212-5, Contract Terms and Conditions Required to Implement Statutes Or Executive Orders - Commercial Items, applies to this acquisition.
