Bidders must include proposed rate for base and option years, as applicable. •· Valid licenses to practice in the state or commonwealth •· Valid DEA license (see DEA License section under Terms and Conditions) •· Certificate of insurance (see Insurance section under Terms and Conditions) •· Resume or Curriculum Vitae •· Statement of Experience dealing with adolescents •· Proposed schedule (days/hours) •· Individual Hourly Rate Breakdown form, if applicable SELECTION OF CONTRACTOR In addition to the hourly rate of service, selection of the contractor will be based on the following criteria: •· Experience in providing health care services for adolescents and young adults (minimum of five years experience) •· Provision of health care to young adults who are socially and economically disadvantaged •· Previous practice in settings such as schools, colleges, institutions, military or correctional institutions •· Willingness and ability to carry out required duties and responsibilities •· Admission and attending privileges at local hospitals or specialty clinics •· Academic affiliation with nearby professional schools or colleges •· Approval of the contractor by the ResCare corporate office •· Approval of the contractor by the Regional Office of Job Corps, U.S. Department of Labor The most suitable candidate(s) may be interviewed prior to award. BID PROVISIONS The following bid provisions will apply. Failure to carefully read and follow all instructions and specifications will be at the bidder's risk. 1. All prices and notations must be in ink or typewritten. No erasures are permitted. Errors may be crossed out and corrections printed in ink or typed adjacent and must be initialed in ink by person signing bid. 2. Price Warranty: The hourly rates quoted herein are no higher than would be quoted to any other customer, commercial and/or agencies of the United State Government for similar services. 3. The bidder will list on a separate sheet of paper any exceptions to the conditions of this bid. This sheet will be labeled "Exceptions to Bid Conditions" and will be attached to the Bid Sheet. If no exceptions are stated, it will be understood that all general and specific conditions will be complied with without exception. 4. ResCare reserves the right to accept and/or reject any or all bids or waive any formality connected with the bids. Lowest rate or overall bid does not constitute bid award. ResCare will be the sole judge of which bid is selected for approval (see "Selection of Contractor" above) and contract award. 5. Items will be quoted F.O.B. destination. No additional charge for delivery, drayage, express, parcel post, packing, cartage, insurance, license fees, permits, cost of bonds, or for any other purpose will be paid by ResCare unless specifically included in the bid and accepted by ResCare. 6. In the event that a contract is awarded in response to this RFP, the below statement of work, provisions and set forth terms and conditions will be incorporated in their entirety into the contract and become an integral part of the contract when the contract is accepted by the contractor, either by acknowledgment or commencement of performance. CENTER PHYSICIAN SCOPE OF SERVICES The undersigned Center Physician agrees to provide students of the Pinellas County Job Corps Center with the services stated herein. Such services will be provided as authorized by the Center Director or his/her representative. The center physician will render services for a minimum of 12 hours per week. The period of performance for this subcontract is from October 1, 2010 through July 31, 2011, with three additional option years. The Center and the Center Physician hereby agree that the services to be provided will include, but will not be limited to those health and wellness services specified in the Job Corps Federal Regulations (Title 20, Code of Federal Regulations 638.510; the Job Corps Policy and Requirements Handbook, Chapter 6, Section 6.10, R1; and applicable Technical Assistance Guides). These services include: •A. The development, implementation, and monitoring of the total center health and wellness program, to help students become and stay employed, including: •1. Advising the Center Director and Wellness Services staff on all medical and health related matters. This shall include staffing requirements; the advisability of medical separations, including the furnishing of diagnosis, prognosis, and recommendations for future care; the utilization and cost of services; the personalization of patient care; and any other health areas deemed appropriate by the Center Physician and the Center Director. •2. Consulting with center staff on ordering, accounting for, and safeguarding health equipment, supplies, and medications. •3. Center Physician is required to comply with the Center's sign-in procedures, a log book containing sign-in sheet is kept in the health and wellness department and is updated and filed on weekly basis. •4. With due regard for Job Corps requirements, the Center Physician will prioritize health needs and set program direction accordingly. To accomplish this, the Center Physician should confer with the health and wellness manager (HWM), the center dentist, and center mental health consultant (CMHC), and meet with the Center Director or Administrative Manager on a monthly basis to review policies and expenditures for that period and establish restraints, if necessary, to stay within budgetary guidelines. The Center Physician may involve the regional health consultants in this process, if needed. •5. Developing a system to promote the coordination and integration of the health components (medical, oral health, mental health, environmental health, and health education) with other center activities. This will be done in cooperation with the HWM, center dentist, and center mental health consultant. •6. Providing advice and assistance to health education instructors on the implementation of the health and wellness program and promoting health and wellness outside the clinic walls (i.e., out on center) to enhance employability of the total student population. •7. Ensuring the maintenance, confidentiality, and safeguarding of all health records. •8. Issuing and maintaining signed and dated standing orders for medical care in accordance with Technical Assistance Guide M: Standing Orders. •9. Staying current on Job Corps policies and procedures via frequent communication with the center's HWM and review of the Job Corps health and wellness website. •B. Providing direct medical services to students, including: •1. A cursory medical inspection for each student within the first 48 hours after arrival on center, and a definitive medical examination and health history of each student, within 14 days of arrival on center. The medical examination will include the interpretation of all routine laboratory tests. Although much of this work may be delegated, the Center Physician maintains the ultimate responsibility for the quality of work performed. •2. Diagnosis and treatment of illness and injury, including the Center Physician's availability on center for acute illness and injury visits. •3. Arrangements for preventive immunizations and detection and control of communicable diseases as specified in PRH-6: Appendix 601 and TAG B: Immunization and Communicable Disease Control. •4. Provision of all necessary referrals for specialist and institutional care and assisting in reviewing follow up information from such off-center referrals. •5. Providing a system of 24-hour emergency back-up coverage/referral. •C. In order to provide quality medical coverage, the following physician services will be provided: •1. On site: the physician will be present on site at center Monday through Friday (except on designated holidays, and as agreed upon) for the stated number of hours each week for 48 weeks a year. Schedule will be determined by Center Director or his/her representative in conjunction with the center physician. •2. On-call (extended) coverage: when not on-site, including after 5:00 p.m. Monday through Friday and weekends, the physician (or his/her substitute) will be available on an on-call basis for telephone consultation and disposition. •D. Additional physician services and duties: Physician Services •1. Supervision - in addition to the specific coverage outlined, the physician would be responsible for the medical supervision of all health care services personnel, including the examinations and treatment rendered to the students. The physician will have critical input into the employment and/or termination of all health provider staff, in coordination with the manager of the health and wellness department. •2. Family Planning Counseling - the physician, in cooperation with an appropriate specialty consultant, would be responsible for developing and supervising ongoing education for health services personnel, providing counseling services, and personally rendering direct patient counseling in this area to the students. State and private contracting agencies may be utilized in this area. •3. Continuing Medical Education - the physician or his/her assistant would be responsible for the development and supervision of continuing medical education (on the job) for Job Corps center health services personnel. •4. Health Care Guidelines - the physician would be responsible for periodic review, update and approval of health care guidelines and other protocols followed by the health and non-health personnel in treating students. •5. Quality Assurance Monitoring - the physician would be responsible for ongoing review of medical care and medical record keeping as practiced by the health and non-health services personnel. •6. Hazard Evaluation - the physician or his/her designee would be available to evaluate and make recommendations regarding physical, chemical, biological, etc. hazards and other areas of occupational medicine such as safe job practices and accident prevention with regard to the vocational training program carried out by the Job Corps center. Emergency Services •1. Definition of Emergency - cases requiring immediate medical attention. Delay is harmful to the patient. Disorder is acute and potentially threatens life or function. •2. Service - treatment should not be delayed by trying to contact the physician. The paramedics should be summoned and the protocols of state Emergency Medical Services System should be obeyed (e.g., immediate transport to the nearest facility capable of handling the problem). Urgent Care Services •1. Definition of Urgent - cases requiring attention within a few hours. In danger if not attended. Disorder is acute but not necessarily severe. •2. Service - the physician should be contacted regarding these cases. A conscientious effort will be made to effect treatment in the most cost effective manner which will not compromise quality of care. •3. When the injury is of a magnitude as to require more sophisticated services or the injury/illness will probably require prolonged observation or potential hospital admission (e.g., a drug overdose), the patient would be referred to nearest facility capable of handling the problem. •4. Hospitalization - in those few cases requiring hospitalization (after evaluation), the patient would be admitted to a local hospital in order to facilitate reporting to Job Corps center personnel on progress, clinical condition, follow-up care at the center, etc. Direct medical services to students •1. Assessment and possible diagnosis of illness and injury in an ambulatory facility •· Cursory medical inspection for each student within the first 48 hours after arrival on center. •· A definitive medical examination and health history of each student, within 14 days of arrival on center. •· Routine laboratory work that can be done on center, e.g., hemoglobin or hematocrit, urine sugar and albumin, and pregnancy. •· Immunizations as indicated. •· Tuberculin skin test (Mantoux) •· Vision and hearing screening. •· Daily walk-in clinic and appointment system for above and for episodic illness or injury assessment by center physician and/or nurse. •· Inpatient unit (during office hours) for minor conditions, such as upper respiratory infections or flu symptoms. •2. Treatment, as highlighted below, will be provided when necessary. Third party payor information will be given to providers when off center care is required. •· Primary emergency care for illness and injury, including first aid and CPR, and secondary care within capabilities, e.g., injection of epinephrine, and immediate transfer to hospital emergency room for specialized diagnosis and treatment, if needed. •· Treatment of urgent and other conditions not needing specialized care, within capabilities of center physician and nurse, such as contusions and abrasions •· Referral to off-center physicians for detailed specialized assessment regarding on-center management of asthma, uncomplicated diabetes, normal pregnancy, etc. •· When students need prescriptions not provided in the basic formulary, local pharmacies will be given insurance information whenever possible. •· If a student sustains an on-the-job injury that requires extensive or specialized treatment, he or she will be medically terminated with a referral to OWCP •3. Assisting the center director to secure formal agreement for all necessary health support services, including: •· Provision of twenty-four hour emergency coverage for such time as the center physician is not available to provide direct patient care. •· Access to necessary inpatient care. For psychiatric care, the center physician may transfer this responsibility to the center mental health professional. Formal arrangements with hospitals should be arranged. •· Access to necessary specialist care. Formal arrangements will be made to ensure that specialty care is timely and delivered at reasonable cost. •· Advice on the purchase of the most appropriate and lowest cost medications, supplies, and X-Ray and laboratory services. General Responsibilities and Delegation : The Center Physician agrees to adhere to the policies, procedures, and guidelines established by Job Corps. The undersigned further agree that the Center Physician will have primary responsibility to implement the program outlined above and may be assisted by the Job Corps National Office and/or health consultants. The Center Physician, with the concurrence of the Center Director, may delegate by written and dated health care guidelines any of his/her responsibilities set forth in this contract to appropriate qualified staff. The Center Physician may delegate professional responsibilities set forth in this contract to another full- or part-time physician only with the Center Director's prior concurrence and a prior review of the secondary physician's qualifications by the regional director and regional medical consultant for the Department of Labor, Job Corps. Job Corps Oversight and Assistance: It is understood that the medical services provided by the Center Physician are subject to monitoring and review by Job Corps. The Center Physician may contact the regional medical consultant with any questions/concerns. Continuing Education: The center physician shall attend periodic continuing education conferences sponsored by the regional or national Job Corps offices. Health Records: The center physician acknowledges that student health records belong to and are the sole property of Job Corps, and shall comply fully with federal HIPAA and state records laws. The center physician will document all services rendered in the students' health records. Case Management: The center physician shall assist in reviewing applicant records and shall recommend possible reasonable accommodations to allow participation in the Job Corps program. The center physician shall also provide case management of students with chronic health problems and disabilities. TERMS AND CONDITIONS Independent Contractor: Under this agreement, the center physician is an independent contractor and not an employee or agent of ResCare or the Department of Labor, Job Corps. As an independent contractor the center physician acknowledges that he/she would not be covered by Worker's Compensation. The center physician agrees to provide professional insurance to cover the physician's professional services to students. The center physician agrees to indemnify and save the center harmless from any expenses, including attorney's fees and also claims on account of damage to property or bodily injury (including death) which may be sustained by himself/herself or his/her employees in connection with work performed. (Detailed insurance and indemnification requirements are below.) Termination: The agreement may be terminated, with respect to the remaining term of the agreement, at any given time by either party upon a written notice thereof to the other, effective thirty (30) days after acknowledged receipt of said notice. Public Statements: The center physician agrees to make no public statements concerning students or Job Corps activities without prior written approval of the Center Director or his/her designated representative. Research Projects and Publications: All research projects and/or publications relating to Job Corps health activities will first be cleared through the national Office of Job Corps, Washington, D.C. Assignability : This contract may not be assigned by center physician, but may be assigned by ResCare. This contract sets forth the entire and only contract between ResCare and center physician. Any representation, promise or conditions, whether oral or written, not incorporated herein will not be binding upon either party. Governing Law : This agreement shall be construed and enforced in accordance with the laws of the State of Florida. Conflict in Hours : The center physician agrees that he/she will not be entitled to and will not claim compensation for services performed under this contract for any hours of a working day for which he/she has received other compensation funds. For the purpose of this clause, payments by agencies or organizations funded by contracts or grants from the United States will constitute compensation from United States provided funds. It is further agreed by the center physician that any claim for compensation submitted in violation of this clause will, if paid, be recoverable from the contract. Privacy Act : 1. Contractor (the Provider, center physician) agrees: a. To comply with the Privacy Act of 1974 and the rules and regulations issued pursuant to the Act in design, development, or operation of any system of records on individuals in order to accomplish an agency function when the contract specifically identifies (I) the system or systems of records and (II) the work to be performed by the Provider in terms of anyone or combination of the following: design, development, or operation; b. To include the solicitation notification contained in this contract in every solicitation and resulting subcontract and in every subcontract award without a solicitation when the statement of work in the proposed subcontract requires the design, development, or operation of a system of records on individuals to accomplish an agency function; and c. To include this clause, including this paragraph (c), in all subcontracts awarded pursuant to this contract which require the design, development, or operation of such a system of records. 2. In the event of violations of the Act, a civil action may be brought, against the agency involved where the violation concerns the design, development, or operation of a system of records on individuals to accomplish any agency function, and criminal penalties may; be imposed upon the officers or employees of the agency where the violation concerns the operations of a system of records on individuals to accomplish an agency function. For purposes of the Act when the contract is for the operations a system of records on individuals to accomplish an agency function, the contractor and any employee of the contractor is considered to be an employee of the agency. 3. The terms used in this clause have the following meanings: a. "Operation of a system of records" means performance of any of the activities associated with maintaining the system of records including the collection, use, and dissemination of records. b. "Record" means any item, collection, or grouping of information about an individual that is maintained by an agency, including, but not limited to, the individual's education, financial transaction, medical history, and criminal or employment history, and that contains the individual's name, or the identifying number, symbol, or other identifying particulars assigned to the individual such as a finger or voice print or a photograph. c. "System of records" on individuals means a group of any records under the control of any agency from which information is retrieved by the name of the individual or by some identifying number, symbol, or other identifying particular assigned to the individual. Indemnification : Contractor shall defend, indemnify and hold harmless ResCare and its officers, directors, employees, agents, shareholders, partners, joint ventures, affiliates, successors and assigns from and against any and all liabilities, obligations, claims, demands, suits, losses, expenses, damages, fines, judgments, settlements and penalties, including, without limitation, costs, expenses and attorneys' fees incident thereto, arising out of or based upon contract damages, property damage or bodily injury (including death at any time resulting there from) to any person, including Contractor's employees, affiliates, or agents, occasioned by or in connection with (1) Contractor's performance of (or failure to perform) the contract duties hereunder; (2) a violation of any laws or any negligent act or omission by Contractor or its affiliates, subcontractors, agents or employees during the performance of the contract duties hereunder; or (3) a breach of this Agreement by Contractor or any of its affiliates, subcontractors, agents, or employees. The aforesaid obligation of indemnity shall be construed so as to extend to all legal, defense and investigation costs, as well as all other reasonable costs, expenses and liabilities incurred by the party indemnified, from and after the time at which the party indemnified received notification (whether verbal or written) that a claim or demand is to be made or may be made. Contractor's obligation under this section does not extend to any liability caused by the sole negligence of ResCare. Insurance : Contractor shall provide and maintain and cause its subcontractors to provide and maintain the following insurance coverage until obligations under this contract are satisfied: •1. Workers' Compensation insurance to cover obligations imposed by federal and state statutes having jurisdiction of its employees engaged in the performance of the services represented by this contract, and Employers' Liability insurance with a minimum limit of $500,000. Evidence of qualified self-insured status shall also suffice for this section. •2. Professional Medical Liability insurance with a minimum combined single limit of $1 million for each occurrence and an aggregate of $3 million. •3. General Liability insurance with a minimum combined single limit of $1 million per occurrence and in the aggregate (or letter, as per below). •4. Where appropriate, Comprehensive Business Automobile Liability insurance with a combined single limit of $1 million per occurrence and in the aggregate. If Contractor does not carry General Liability insurance and Contractor's Professional Liability insurance carrier does not offer General Liability coverage, Contractor will submit a letter from the carrier stating that the carrier does not provide the coverage. Failure to procure and maintain the required insurance and provide proof thereof, in the form of an appropriately executed certificate of insurance prior to the effective date of this contract or within thirty (30) days following the commencement of a new policy period, shall constitute a material breach of the contract. Such certificate shall contain provisions that coverage afforded under the policies shall not be canceled, terminated, or materially altered without at least thirty (30) days prior written notice to the other party. Contractor shall obtain the required insurance from a provider that is rated A- or better by A.M. Best or as acceptable by ResCare. NOTE: For further consideration, vendors who are unable to meet any of the above insurance requirements should provide a detailed statement as to why they are unable to comply. DEA License : Upon award of a contract, Contractor shall provide and maintain a Drug Enforcement Agency (DEA) license that includes the Contractor's name and the Job Corps center's address for as long as the contract is in force. Prime Contract : ResCare is a contractor to the U.S. Department of Labor, Office of Job Corps, for operation of the center under contract # DOLJ10UA00042. Contractor shall cooperate with ResCare and other contractors to assure performance for the operation of the center in accordance with the Prime Contract. Invoicing : Contractor shall submit to ResCare, on a weekly basis, an invoice for services provided during the covered billing period. The invoice shall include, at a minimum: •· Breakdown of hours worked •· Date(s) services provided •· Hourly rate for individual services, extended unit price and total •· Invoice number and date Standard Contract Terms and Conditions : ResCare standard terms and conditions will be made a part of any contract resulting from this RFP.
