Description: DEPARTMENT OF VETERANS AFFAIRS Justification and Approval For Other Than Full and Open Competition Upon the basis of the following justification, the use of other than full and open competition for the proposed contractual action is hereby approved pursuant to the authority of 41 U.S.C. 253 ( c )(1) and FAR 6.302-1. 1. Contracting Activity Department of Veterans Affairs Veterans Health Administration Service Area East, Procurement Contracting Activity in St. Louis Contracting POC: Linda Eley, Contracting Officer 11152 South Towne Square St. Louis, MO 63123 2. Nature of Action Being Approved: EES plans to contract by means of other than full and open competition for a firm fixed price award with Venture Solutions & Development, Inc. 45 Jackson Drive, Acton, MA. 01720, Telephone number (978)-266-0152. 3. Description of Service and Supplies: The nature of this contract action with Venture Solutions & Development Inc. is to provide a one of a kind formal presentation/training on September 13th, 2012. The presentation will be focused on increasing the participant's knowledge and understanding of "Expert to Evolver Ž" principles and practices and when/how to apply those ideals. The "Expert to Evolver Ž" material and ""Expert to Evolver Assessment Ž" methodology is sole propriety/owned and copy written by Venture Solutions & Development and is not available from any other source except Venture Solutions & Development. The estimated cost of this proposed acquisition is $4,200.00 4.Statutory Authority Permitting Other than Full and Open Competition: ( ? ) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per FAR 6.302-1; 5. Rationale Supporting Use of Authority Cited Above: Venture Solutions & Development Inc is the only provider of the "Expert to Evolver Ž" material and Assessment tool. Venture Solutions & Development holds the 'copyright' to this material and as such are the only vendor that is able to provide this critical training and conduct the "Expert to Evolver Assessment" Ž to the government. This training and is copy written and is proprietary and is only available from Venture Solutions & Development, Inc. If another vendor had to develop a course for the VA it would cause considerable duplication of cost for the government as well as cause a delay the delivery of this critical training. 6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: Researched GSA and Google for this type of training and none met the requirements or needs of the government. Market research was conducted to determine the applicability of other sources for this presentation and the results indicated that Venture Solutions Inc. is the only company that conducts this specialized training and assessment. Due to the dollar amount this acquisition will not be synopsized in FedBizOpps as required in FAR 5.201. 7. Determination of Fair and Reasonable. Reference FAR 15.404-1(b)(2)(iv). The price offered to the commercial market place by Venture Solutions & Development is $8,000 to $10,000 per engagement. Venture Solutions & Development's government rate is $4,200. Even using the $8,000 rate, the government will receive a 47% discount off the commercial market price. In 2011, Venture Solutions and Development provided this same training for EES for $4,400. This year Venture's government rate has been reduced by an additional $200. At this price, it can be reasonably determined to be fair and reasonable. 8. Description of Market Research: Based on extensive general internet searches and GSA Advantage searches, no similar training was found. Venture Solutions and Development is the sole proprietor of the Expert to Evolver Training and Assessment tools. 9. Other Supporting Data: Market Research was conducted by Jarrett Faulkner (Contract Specialist) on 8/29/2012. A search of VetBiz, GSA E-Buy, and a review of past contracts awarded for this requirement was performed and there are. There are other vendors that can provide face to face training in a variety of general leadership/management/strategic training but none can provide the copy written training that Venture Solutions & Development can provide. 10. Other Interested Sources: We have no identified any other interested sources; however we will continue to pursue competition for future requirements. 11. Future barriers to competition: If we have a future requirement we will do due diligence and research to determine if there are any new vendors or approaches in the commercial market place that can meet the needs of the government. 12.
