- Justification and Approval for Other Than Full and Open Competion (≤$500,000) (In accordance with FAR 6.303-1) 1. Contracting Activity: Defense Microelectronics Activity (DMEA), ATTN: MEE, McClellan, CA 95652-2100. 2. Description of Action: Approval is being requested for the purchase of three (3) years of annual support for 12 user licenses of Silvaco TCAD, UTMOST, and SPICE tools using RDTE funds. A detailed list of the licensed software is attached. 3. Description of Supplies/Services: The contractor will supply software licenses manufactured by Silvaco Inc. and delivered to DMEA, 4234 54th Street, McClellan, CA 95652-2100. Estimated total cost of the software licenses is $450,000. 4. Authority Cited: 10 U.S.C. 2304 (c) (1), as implemented by FAR 6.302-1, only one responsible source and no other supplies or services will satisfy agency requirements. 5. Reason for Authority Cited: Silvaco Inc. is the only contractor who can supply the TCAD, UTMOST, and SPICE tools set already in use in the DMEA facility. The Silvaco tools are proprietary and information on the software tools are not provided to other commercial firms. 6. Efforts to Obtain Competition: Although there are several vendors distributing these types of tools, these alternative solutions would require the purchase of a completely separate tools package plus extensive user training for the new tools. These alternatives would have initial startup costs of ten (10) times the cost of the existing Silvaco software. 7.a. Contracting Officer's Fair and Reasonable Cost Determination: I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable and this justification is accurate and complete to the best of my knowledge. 7.b. Procurement Analyst Concurrence: Based on the above information, I hereby concur with this J&A and proceeding with other than full and open competition. 8. Market Research: The market research that was conducted during May 2012 used the following elements to make our determination: a. Contacting knowledgeable individuals in Government and Industry regarding market capabilities to meet requirements. b. Reviewing catalogs and other generally available product literature published by manufacturers, distributors, and dealers or available on-line. Market research has identified two other possible competitors in this specialized tool market: Synopsis and Crosslight. However, the software used in development environment is proprietary and is only available through Silvaco Inc. These alternative solutions would require a new purchase of a completely separate tools package plus extensive user training for the new tools. These alternatives would have initial startup costs of 10 times the cost of the existing software. 9. Other Facts: It would also take more than a year for DMEA to become proficient with a new tool suite. 10. Listing of Source: Silvaco, Inc 11. Actions to Increase Competition: None 12.
