- Additional Terms and Conditions Statement of Work This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotations are being requested and a written solicitation will not be issued. Solicitation number CFHRB-13-SO-0145 is issued as a Request For Quotation (RFQ) under the Test Program for Certain Commercial Items (FAR Subpart 13.5). The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-68. This procurement is not a set-aside. All responsible sources may submit a quotation. The NAICS code for this acquisition is 611710 with a small business size standard of $14.0 million. The Government intends to award one contract resulting from this solicitation. As described in the Statement of Work, Attachment A to this solicitation, the contractor shall furnish CFTC with an enterprise-level license/membership for unlimited use of the contractor's e-Learning training services. Additionally, the contractor shall ensure that its in-person training events can physically accommodate a minimum of 100 CFTC employees. The period of performance will be one year from the effective date of award, with four additional one-year options to extend the term of the contract. All deliverables shall be shipped F.O.B. Destination. The provision at FAR 52.212-1, Instructions to Offerors-Commercial, applies to this acquisition. The following is incorporated into this solicitation as an addendum to FAR 52.212-1, which replaces section (f) of the provision: "(f) Quotations received after the time and date specified in the solicitation will not be accepted unless the Contracting Officer determines that acceptance of the quotation is in the Government's best interest and will not unduly delay the acquisition." The provision at FAR 52.212-2, Evaluation-Commercial Items, is applicable to this procurement. The specific evaluation criteria to be included in paragraph (a) of that provision are: (1) Proposed Solution - CFTC will consider the variety and depth of content of the quoter's course offerings, how current the course content is, and the extent to which the offerings carry CLE accreditations. Additional emphasis will be placed on the extent to which the quoter's course offerings cover the Dodd-Frank Wall Street Reform and Consumer Protection Act (Pub.L. 111-203, H.R. 4173), financial markets, government regulations and ethics. Additionally, CFTC will consider the frequency and scope of the quoter's training events, with additional emphasis placed on the extent to which they cover updates and/or changes to the Dodd-Frank Act, Government markets and financial markets. As part of this evaluation, CFTC will also consider the technical (i.e., help desk) support that will be available to CFTC's employees, compliance of the quoter's online system with Section 508 of The Rehabilitation Act of 1973, as amended (29 U.S.C. 794d), as well as any usage limitations and terms and conditions of the proposed maintenance and/or license agreement, if applicable. (2) Corporate Experience and Past Performance - The quoter's history of successfully performing projects similar in scope to this project will be evaluated on the extent to which it demonstrates a likelihood of successful performance under the contract. An important factor indicating similarity to this project will be the extent to which the cited projects involved furnishing CLE-accredited COTS legal education training (i.e., through e-Learning and in-person training events) to federal agencies. The evaluation will be based on information provided in the written quotation, references if contacted, information provided in response to any clarification questions, information provided by discussions and/or quotation revisions, if any, and any other information available to the Government. As part of this evaluation, the Commission will also consider comments from past performance references (if contacted) on their experiences using the quoter's online and in-person resources. (3) Price - The evaluated price will be the sum of the quoted firm-fixed-prices for each of the potential five years of the contract. CFTC may award the contract to other than the lowest priced quoter. The above technical criteria (i.e., 1 and 2) are listed in declining order of importance. From the standpoint of the relative importance of price to the technical criteria, the technical criteria, when combined, are significantly more important than price. However, as the merit of technical factors in competing quotations approaches equality, price will become increasingly more significant as an evaluation factor. Quoters shall include a completed copy of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items, with their quotations. The clause at 52.212-4, Contract Terms and Conditions-Commercial Items, applies to this acquisition. There are no addenda applicable to the clause. The clause at 52.212-5, Contract Terms and Conditions Required To Implement Statutes or Executive Orders-Commercial Items, applies to this acquisition. The following additional FAR clauses cited in the clause are applicable to this acquisition: 52.203-6 with Alternate I; 52.204-10; 52.209-6; 52.209-9; 52.209-10; 52.219-4; 52.219-8; 52.219-28; 52.222-3; 52.222-21; 52.222-26; 52.222-35; 52.222-36; 52.222-37; 52.222-40; 52.222-54; 52.223-18; 52.225-13; 52.232-33; and 52.239-1. Additional terms and conditions to be included in the contract are described in Attachment B to this solicitation. Quotations shall include the following: (1) Instructions for Proposed Solution - (a) The quotation shall include a listing of all currently available training classes, and separately list all training classes under development as well as the training classes planned for the future. The quotation shall describe the time frames for each course, duration of each course, the instructor name and/or organization providing the course, as well as any information the quoter considers relevant to CFTC's evaluation. The quoter shall include a copy of, or internet link to, the quoter's current course catalog. Unless already contained in the course catalog, the quotation shall also include descriptions of the online and in-person course content. (Note: CFTC reserves the right to require temporary access to the quoter's e-Learning training modules, for evaluation purposes.) (b) Describe the technical (i.e., help desk) support that would be provided to CFTC's employees. Additionally, if the proposed solution requires a maintenance agreement please include a copy of it in the quotation. (c) Pursuant to the clause entitled "Compliance with the Rehabilitation Act of 1973" (see Attachment B), Section 508 of the Rehabilitation Act applies to this acquisition. Therefore, provide a Voluntary Product Accessibility Template ("VPAT") indicating the extent to which the offered online services meet the standards of Section 508. The 508 technical standards are available at https://www.section508.gov. A copy of the template may be obtained from the Contracting Officer by sending a request via email. (d) Describe any usage limitations (e.g., number of users), if applicable, for the proposed enterprise-level license. Additionally, if the proposed solution requires a license agreement please include a copy of it in the quotation. Note: CFTC and the contractor must agree on all terms and conditions in any proposed license agreement prior to award of a contract. CFTC reserves the right to remove a contractor from consideration at any time during the procurement process if it will not agree to remove or amend terms and conditions that the Government is precluded from accepting (e.g., indemnifying the contractor, ability of the contractor to terminate the agreement, certain choice of law provisions, etc.). (2) Instructions for Corporate Experience and Past Performance - Provide information on five (5) projects similar in scope to this project that are currently being completed or have been completed by your firm within the past two (2) years. For each project, also provide point of contact information (i.e., name, title, telephone number and email address) for contractual matters (e.g., Contracting Officer) and technical performance (e.g., COR). (Note: The description of each project shall be limited to one (1) page, using 12 point or larger font for text, with a maximum page size of 8.5"x 11".) (3) Instructions for Price - Quoters shall provide a firm-fixed-price for each of the potential five years of the contract. The firm-fixed-price shall cover all items and services described in the Statement of Work, including the offered help desk support. CFTC expects to evaluate quotations and award a contract without conducting discussions and/or soliciting quotation revisions. Therefore, the quoter's initial quotation should contain the quoter's best terms from a price and technical standpoint. However, CFTC reserves the right to conduct discussions if later determined by the CFTC Contracting Officer to be necessary. All questions regarding this combined synopsis/solicitation shall be submitted to the Contracting Officer via email to wroberson@cftc.gov, by 12:00 p.m. local (Washington, DC) time on July 26, 2013. CFTC expects, but does not guarantee, to answer questions submitted by this time. Questions, if answered, will be responded to in the form of an amendment to this combined synopsis/solicitation. Prospective quoters are warned against contacting any CFTC personnel other than the Contracting Officer prior to award of a contract resulting from this solicitation. If such a contact occurs and is found to be prejudicial to competing vendors, the vendor making such a contact may be excluded from award consideration. Quotations are due no later than 12:00 p.m. local (Washington, DC) time on August 5, 2013. The quotations shall be submitted to the attention of Contracting Officer William M.
