OFOC SOP Revision 05 Original Date: 03/22/11 Revision 05 Date: 05/02/2016 DEPARTMENT OF VETERANS AFFAIRS Justification and Approval (J&A) For Other Than Full and Open Competition (>$150K) Acquisition Plan Action ID: 1. Contracting Activity: Department of Veterans Affairs, NCO 18 Nature and/or Description of the Action Being Processed: This justification for other than full and open competition comes as a result of a current, ongoing requirement at the Southern Arizona VA Health Care System (SAVAHCS) to establish a contract for annual maintenance service of the Selenia Mammography equipment. The current contract is expiring 30 Sept 2017, and a new, follow-on contract will be awarded to the same contractor for continued service. Therefore, the NCO 18 Contracting Office proposes a sole source, firm-fixed price contract. The length of the period of performance is based on the current self-life of the equipment. PMs will be accomplished in accordance with the Original Equipment Manufacturer (OEM) recommendations. Must use OEM certified parts and service engineer/technicians must be OEM trained on all equipment included in agreement. Toll free support. Unlimited service calls with on-site response within 48 hours. All parts covered. Travel and labor included. Designated Response time 48 hours unless otherwise agreed upon by COR 4. Statutory Authority Permitting Other than Full and Open Competition. (X) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per FAR 6.302-1; ( ) (2) Unusual and Compelling Urgency per FAR 6.302-2; ( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per FAR 6.302-3; ( ) (4) International Agreement per FAR 6.302-4 ( ) (5) Authorized or Required by Statute FAR 6.302-5; ( ) (6) National Security per FAR 6.302-6; ( ) (7) Public Interest per FAR 6.302-7; Demonstration that the Contractor s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): Hologic, Inc. is the manufacturer of the Selenia Mammography equipment and produces the system to provide mammography results for patients of the Veterans Administration Health Care Systems. There are no distributors that can provide the maintenance and all equipment information is considered proprietary and confidential. The system requires recurring maintenance to ensure they have update capabilities for the current demand of the hospital. Services for maintenance of government owned systems are not available through Federal Supply System or any other contractor. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: The manufacturer has confirmed they do not outsource the maintenance to other contractors. Accordingly, all avenues to seek additional competition have been exhausted mandating the purchase directly from Hologic, Inc. for all services pertaining to the Selenia Mammography equipment. Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable: The maintenance service prices for this service have been provided by the contractor at the commercial market costs with a discount provided to the Veterans Administration. The units are currently the property of individual medical centers and will require ongoing maintenance service and support for the foreseeable future. The prices proposed by Hologic for the maintenance and support of the listed equipment (see item 3) are in line with those previously paid on similar requirements. The Contracting Officer will seek pricing strategies that provides the Government with costs that take into consideration the demand of the services needed, the market environment at time of award and any/all sources of services to ensure that the costs are prudent to what is available for the commercial market. Price comparison of proposed prices to historical prices paid should determine if the price can be considered fair and reasonable. Current the proposal from Hologic is priced at $167,025 for the base year and the two (2) option years. Each year totals $XXXX with no increase for inflation. Additionally, the company is including discounts from their regular commercial pricing totaling $XXXX. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: It has been found through market research that Hologic, Inc. is the only provider with the capability needed for this requirement due to Veterans Administrations ownership of the property. The SAVAHCS Contracting Office will make attempts in the future to search for additional sources and ensure any new requirements are researched thoroughly prior to award. Any Other Facts Supporting the Use of Other than Full and Open Competition: Hologic, Inc. is currently registered in Central Contractors Registration and does not show up on the Excluded Parties List. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition: Hologic, Inc. is the single firm available to meet the needs for the requested service. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: Hologic, Inc. is the sole proprietor to the Selenia Mammography equipment and software. There are no foreseen barriers.
