Description
The Department of Justice, Community Relations Service (CRS), requires 200 images for use in its programmatic and outreach materials (i.e., training material, fact sheets, program flyers, annual reports). These images must represent a range of images of major U.S. historical events, instances of conflict and violence in the U.S., examples of the diversity of Americans and efforts to promote understanding and reduce tension, locations throughout the U.S., and the daily life of CRS's stakeholders, including: Muslim Americans and Sikh Americans, practicing their faith and illustrating other aspects of their daily life; Other religious groups practicing their faith; Law enforcement officers performing their work duties and interacting with citizens; Protestors in groups, marching; attending rallies, and interacting with counter-protestors, law enforcement, and local, state and federal officials; African Americans, Hispanic Americans, Asian Americans, Caucasian Americans, and American Indians; Americans in conflict or experiencing tension with other groups of Americans; Women, men, and children; Lesbians, gay men, bi-sexual individuals, transgender individuals; Americans with disabilities; Federal, state, and local elected and appointed officials; Teachers at all educational level; Members and leaders of community groups and local, state and national advocacy organizations; Members and leaders of local, state and national civil rights organizations; Americans in small towns and large cities, suburbs and rural areas, American Indian reservations, and throughout the U.S.; and Americans at work in various occupations. 1. Definitions: (a) "Image(s)" means, photographs, vectors, drawings and the like available for license from the contractor's website. (b) "Footage" means any moving images, animations, films, videos or other audio/visual representations, excluding still images, recorded in any format that are available for license from the Contractor's website. (c) "Content" means images and footage. 2. Usage Rights: (a) The Contractor shall grant CRS a non-exclusive right throughout the world, in perpetuity, to use, modify and reproduce Content in any media now known or hereinafter devised, subject to limitations specified in advance. 3. Warranties and Representations: Contractor must warrant and represent that (a) Contractor's Contributors have granted Contractor all necessary rights in and to the Content to grant the rights set forth in Part 2 as applicable. (b) Content in its original unaltered form and used in full compliance with any contract or order between CRS and Contractor and applicable law, will not: i) infringe any copyright, trademark or other intellectual property right; ii) violate any third party's rights of privacy or publicity; iii) violate any US law, statute, ordinance, or regulation; or iv) be defamatory, libelous, pornographic or obscene. 4. Indemnification by Contractor: Provided that CRS does not breach the terms of its agreement with Contractor, Contractor must indemnify and hold CRS harmless for direct damages arising from a third-party claim directly attributable to Contractor's breach of the express warranties and representations made herein, including any third party claim of intellectual property infringement and violation of privacy or publicity, together with reasonable attorneys' fees. This requirement will be procured in accordance with FAR Subpart 12.6, Subpart 13.106 and Subpart 13.5 as supplemented with additional information included in this notice. The following FAR clause(s) are hereby incorporated by reference as part of this requirement: 52.212-3 Offeror Representations and Certifications - Commercial Items, 52.212-4, Contract Terms and Conditions-Commercial Items, 52.212-5, Contract Terms and Conditions Required to Implement Statutes or Executive Orders--Commercial Items, 52.232-18 Availability of Funds, and 52.217-9 Option to Extend the Term of the Contract. All referenced FAR clauses may found at https://www.acquisition.gov/browsefar. Interested parties must submit a written quote detailing product information that demonstrates ability to meet this requirement. Quotes are to be sent to Michele B. Spencer at michele.b.spencer@usdoj.gov ; by 2PM ET March 1, 2018. Award will be made to the vendor that best meets the requirements of the solicitation and price. Oral quotations will not be accepted. Telephone calls will not be accepted, as no solicitation document exists.
