- BPA TERMS AND CONDITIONS EFFECTIVE 1 APR 2018 Section I - Solicitation/contract Form 1. DESCRIPTION OF AGREEMENT: This Blanket Purchase Agreement (BPA) is established to provide cell phone services and equipment at the prices stated in the Official Price List (Attachment 1) and BPA terms and conditions and clauses. The contractor shall deliver cell phone services and equipment to the Government if and when requested by the Contracting Officer or authorized BPA Callers. a. Description of Supplies and Services Required: Following are the line items for services and equipment. Additional line items, if needed, will be added to the BPA through a modification. b. SERVICE PLAN DESCRIPTIONS LOCAL, TEXT AND DATA SERVICE CLOSED PLANS UNLIMITED CALLS TO ANY OPERATOR, INCLUDES 3000 TEXT TO CLARO USERS ALSO WITH PAQ NAVIGATES 7.2 GB: THIS PACKAGE ALLOWS TO NAVIGATE TO THE MAXIMUM SPEED ALLOWED BY THE NETWORK UNTIL REACHING 7.2 GB OF CONSUMPTION, ONCE IT EXCEEDS 7.2 GB, YOU WILL BE ABLE TO CONTINUE WITH EMAIL ACCESS AND SOCIAL NETWORKS. ADDITIONAL SERVICES SUCH AS SHORT CODES OF INFORMATION, ENTERTAINMENT AND DOWNLOADS TEXT WILL BE BILLED IN ADDITION TO THE PACKAGE ACCORDING TO THE CURRENT RATE OF EACH SERVICE. Ordering and Delivery: Official written BPA calls shall be issued for each order. If, for any reason, a written BPA call cannot readily released from the contracting system (PD2), the contractor shall be authorized in writing via e-mail only by the Contracting Officer authorized to place calls (per Attachment 2). Any e-mail services/equipment/ supplies within five (5) business days of receipt of BPA call. Authorized calls shall be supported by a written BPA call properly approved and signed by the Contracting Officer. d. Agreement Modification: This BPA may be modified in writing with concurrence by both parties and may be discontinued with a 30-day written notification by either party. The Government reserves the right to cancel this agreement or terminate any BPA Call at any time if the Contractor fails to perform within the terms and conditions of this agreement. 2. EXTENET OF OBLIGATION: The Government is not obligated to place any calls under this BPA. The Government is only obligated to extent that authorized calls are placed. 3. RETAINING CLAUSE: The Government is not obligated to have a retaining clause with the operator either for services or for equipment. No cancellation fee applies. 4. PRICING: The prices to the Government for all acquisitions made under this agreement shall be as low as, or lower than those charged the supplier's most favored customer for comparable quantities under similar terms and conditions in addition to any discounts for prompt payment. The Contractor shall furnish a price list for services and equipment/supplies identified in Para 1(a) above. This price list which covers a specific period (i.e, 1 Apr 2018 through 31 Mar 2019) shall be effective upon acceptance in writing by Contracting Officer. Calls will be made only for items appearing on the list above corresponding to the approved price list. No price changes shall be made after a BPA call has been placed unless the change was approved by Contracting Officer via an official and written modification to the BPA Call. 5. PURCHASE LIMITATION: No individual call placed under this agreement shall exceed $100,000.00 Authorized callers shall be identified by name or title along with his/her maximum authorized limit per call. (Attachment 2) 6. DELIVERY TICKETS: All shipments under this agreement shall be accompanied by delivery tickets or sales slips which shall contain the following minimum information: a. Name of Supplier b. Blanket Purchase Agreement (BPA) number c. Date of Call/Purchase d. Call/Purchase Number e. Itemized list of supplies and/or services furnished f. Quantity, unit price and extension of each item less applicable discounts g. Date of delivery/date services were provided h. Delivery address A copy of the signed delivery ticket/sales slip shall be required to support the invoice. 7. INVOICES: An itemized invoice shall be submitted monthly or upon the expiration of this BPA, whichever occurs first, for all deliveries made during a billing period and for which payment has not been received. The invoice shall list the items delivered/services furnished. Notes: 1. Closed Plan: When allowable minutes and text messages are fully utilized during the billing period, the operator will shut off the service for that billing period. Users can receive text messages and incoming calls at no additional cost. 2. Open Plan: When allowable minutes and text messages are fully utilized during the billing period, service continues and extra charges will apply for every outgoing/incoming call and text messages. If a line includes one service under an Open Plan, all other associated services (i.e., local service, international service, text message service) will be under the Open Plan. Special services (i.e., information, emergency, ambulance, taxi calls) are under Open Plan, but will be identified separately in the bill. 3. Monthly service charges may change once a year. Contractor shall notify the contracting officer of any price changes and will be effective as of the date of acceptance in writing by the contracting officer. Price change shall not affect orders previously issued. 4. Contractor shall notify the contracting officer of any change in the prices for equipment. No change shall take effect unless accepted in writing by the contracting officer. Substitutions of equipment may be accepted as long as the equipment meets the requirements; it's under the same segment and is considered acceptable by the requiring activity/POC. 5. Permanent local service provider employee to support the embassy directly, Monday through Friday. Service provider employee should have the capability to resolve all types of concerns and requirements including technical support. Additionally, a direct 24 hours support phone line for weekends and holidays. 6. Available equipment for reposition during the term of the contract, and delivery of such not to exceed five working days. If equipment is not available, service provider will either search other cities for the exact equipment and/or need to offer a different equipment with similar characteristics at a similar or same price. 7. Guarantee cellphone coverage in the following locations: Bogotá, Medellín, Cartagena, Cali, Barranquilla, Melgar, Tolemaida, Valledupar, Cúcuta, Ibagué, Pasto, Buenavista/Valledupar, Tumaco, Bahía Málaga, Buenaventura, Turbo, Popayán, La Macarena, Larandia, Florencia, Caquetá, San Andrés. 8. Packages of International Long Distance service will have benefits in the plan. Section II - Definitions CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government. DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement. DELIVERABLE. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports. KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal. QUALITY ASSURANCE. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards. Contracts for commercial items shall rely on contractors' existing quality assurance systems as a substitute for Government inspection and testing before tender for acceptance unless customary market practices for the commercial item being acquired include in-process inspection. The HQ, AMC-Level Protest Program is intended to encourage interested parties to seek resolution of their concerns within AMC as an Alternative Dispute Resolution forum, rather than filing a protest with the General Accounting Office or other external forum. Contract award or performance is suspended during the protest to the same extent, and within the same time periods, as if filed at the GAO. The AMC protest decision goal is to resolve protests within 20 working days from filing. To be timely, protests must be filed within the periods specified in FAR 33.103.
