Description
THIS IS A REQUEST FOR INFORMATION (RFI) ONLY The U.S. International Development Finance Corporation (DFC) is seeking information from industry to assist with the development and planning of a re-compete of an existing requirement for Legal Support Services for transactions in developing countries. The information obtained from this notice will be used for market research purpose only to define and develop the Government's requirement. This RFI is not a Request for Proposal (RFP) and is not to be construed as a commitment by the Government to issue a solicitation or ultimately award a contract. Responses will not be considered as proposals nor will any award be made as a result of this notice. All information contained in this RFI is preliminary and subject to change. It is in no way binding on the Government. FAR clause 52.215-3, ""Request for Information or Solicitation for Planning Purposes"", is incorporated by reference in this RFI. The Government does not intend to pay for information received in response to this RFI. Responders to this invitation are solely responsible for all expenses associated with responding to this RFI. DFC has a requirement for non-personal legal support services involving the structuring, negotiation, documentation, monitoring, collection/enforcement and/or divestiture related to one or more of the following types of transactions: Category 1: Finance. Structuring, negotiation, documentation, monitoring, collection and enforcement of international finance transactions, and due diligence and other legal advice and litigation in connection with same. Loans/guaranties to these projects will generally range from $5 million to $35 million but some may be as low as $1 million, and some may be as high as $1 billion.� Some of these transactions may include social �impact investing� projects. Category 2: Investment Funds. Structuring, negotiation, documentation, monitoring, collection, and enforcement of financing for international private equity investment funds and limited partner equity investments in, and due diligence and other legal advice and litigation in connection with same, including review of fund formation documents for compliance with DFC's objectives. Loans/guaranties to, or limited partner equity investments in, investment funds will generally range from $10 million to $50 million, but some may be as high as $200 million. Category 3: Direct Equity Investment. Structuring, negotiation, documentation, monitoring, and enforcement, and divestiture of cross border equity purchase transactions, and due diligence and other legal and regulatory advice and litigation in connection with the same.� Investments can be made using in any available structure, through offshore investment vehicles or directly into an onshore operating company.� Target companies may be early stage to late stage.� In most cases DFC will not be the lead investor.���� Category 4: Political Risk Insurance. Structuring, negotiation, and documentation of political risk insurance and reinsurance policies, including revision of forms, and due diligence and other legal advice in connection with same, including evaluation and other legal advice in connection with potential and actual claims for compensation and recovery. Assist with political risk insurance product development. The proposed contract will be a multiple award Indefinite Delivery/Indefinite Quantity vehicle with Fixed Price, Time and Materials and Labor-hour, and Cost Reimbursement orders. The applicable�NAICS code for this requirement is 541110: Offices of Lawyers. If you are interested in participating in this market research activity, review�the draft RFP and attachments thoroughly.� Provide comments and feedback that may be helpful in clarifying the Government�s requirement. Submissions shall be sent via email to solicitation@dfc.gov no later than 2:00pm EST on Friday, January 8, 2021.� All submissions shall include; 1) business name, 2) address 3) DUNS number 4) point of contact name and email address, and 5) Type of small business, if applicable, (e.g. Services Disabled Veteran Owned small business (SDVOSB), Veteran-owned small business (VOSB), 8(a), HUB-Zone, Women Owned Small Business, Small disadvantaged business, or Small Business).� Telephone inquiries will not be accepted or acknowledged, and feedback to companies regarding their submissions will not be provided. All data received in response to this Sources Sought that is marked or designated as corporate or proprietary will be fully protected from any release outside the Government.
